Darryl E. Freling is currently a Managing Principal of MedProperties Holdings, LLC. Mr. Freling has 25 years of experience in the areas of both corporate and real estate investment (private and public), real estate development and management, complex business structures, and finance. Until leaving the company in September 2001, Mr. Freling worked, and performed a number of diverse roles, for Mack-Cali Realty Corporation, a NYSE listed office real estate investment trust with approximately 30 million square feet of property. For much of his four years with the company, Mr. Freling was responsible for Mack-Cali’s real estate acquisition efforts in the Western United States (including approximately $300 million in real estate acquisitions), as well as Mack-Cali's efforts in new business development, focusing on both technology and non-technology related opportunities. Prior to Mack-Cali, Mr. Freling joined Patriot American Hospitality, Inc. and Patriot American Office Group in February 1996, where he was involved in the real estate acquisition and merger activities of both companies, including the merger of Patriot American Office Group into Mack-Cali in 1997. In regards to Patriot American Hospitality (a NYSE listed hospitality REIT), Mr. Freling participated in over $1.0 billion in corporate merger transactions, and over $500 million in real estate acquisitions. From 1984 until 1987, Mr. Freling was Executive Vice President, and later President, of Concourse Development Corporation, a Dallas based office development company that developed in excess of $250 million of office properties. In 1986, Mr. Freling formed Olympic Management Corporation, which provided asset and property management services on a six million square foot portfolio, primarily for financial institutions. He served as President of the company until selling it in 1988. Mr. Freling holds a JD and Masters in Business Administration from the University of Texas School of Law, and the University of Texas Graduate School Of Business, respectively. |

Henry Horowitz has over 35 years of extensive experience in management of start-ups and established firms in real estate and retail industries. Currently, Mr. Horowitz is Principal and Managing Partner of Oxford Capital Partners, LLC, a real estate investment firm focused on acquisitions and development of shopping centers in the Southwest and Southeast, a firm he co-founded in 1998. In an addition, Mr. Horowitz is a Managing Member of MedProperties Holdings, LLC, a private equity fund firm based in Dallas, TX, specializing in the ownership of medical service and health care facilities in several states. During 2000, Mr. Horowitz was President of RealtiCorp, a commercial land investment fund specializing in low risk arbitrage primarily in the Southeastern area of the United States. During the period from 1993 to 2000, Mr. Horowitz served in various executive management roles with Insignia Financial Group, one of the largest real estate companies in the world. He was President of Insignia Commercial Group, Inc., Chief Operating Officer of Insignia/ESG, Inc. and Executive Managing Director of Insignia Financial Group. In addition, he served on the company's executive management, investment and compensation committees. He was instrumental in founding the commercial real estate operations for the company and taking its real estate portfolio from 2 million square feet to 225 million square feet throughout United States and Europe. Prior to Insignia Financial Group, Mr. Horowitz co-founded First Resource Group, Inc., a regional real estate firm providing real estate services for a 7 million sq. ft. retail and office portfolio in Oklahoma and Texas. The firm was subsequently acquired by Insignia Financial Group in 1993. Mr. Horowitz is Commissioner of South Carolina State Arts Board , Chairman and Founder of Artisphere International Festival, Member of - Wachovia Bank South Carolina Regional Advisory Board, Greenville Convention and Visitors Board of Directors, Greenville Ballet Advisory Board, Greenville Symphony Advisory Board, SC Tourism Leadership Council, Dream Big Greenville Board and Urban Land Institute. He holds a BBA degree from Bernard Baruch School of Public and Business Administration and a MBA from NYU. |

Michael R. Horowitz -- Mr. Horowitz is a co-founder and a Managing Principal of the Manager, MedProperties Holdings, LLC. Mr. Horowitz has over 35 years of real estate acquisition, development, redevelopment and financing experience. Currently, Mr. Horowitz is a Managing Principal of MedProperties Holdings, LLC. Prior to founding MedProperties Holdings, LLC, Mr. Horowitz co-founded and served as a Managing Principal of Oxford Capital Partners, LLC, and was responsible for directing overall investment strategy. Prior to forming Oxford, Mr. Horowitz founded Insignia Commercial Investments Group, Inc. (ICIG), a wholly-owned subsidiary of Insignia Financial Group, organized to acquire, develop and redevelop commercial real estate funded by Insignia and its co-investment partners. During Mr. Horowitz’s tenure, ICIG and its parent acquired and developed over $600 million of retail, industrial and office nationally. Equity co-investors included ING Barrings, GE Capital, Citibank Private Bank, Real Estate Capital Partners, Blackacre and others. Mr. Horowitz is a member of the American Society of Real Estate Counselors and holds a counselor of real estate designation. He is also a member of the American Real Estate Society. Mr. Horowitz holds a bachelors degree in business administration from the University of Oklahoma. |

Roman J. Kupchynsky II is a Managing Principal of MedProperties Holdings, LLC. For the ten years prior to MedProperties, Mr. Kupchynsky was a partner with the law firm of Gardere Wynne Sewell, LLP. As an attorney, Mr. Kupchynsky advised on and structured a number of healthcare real estate projects including, the Jack and Jane Hamilton Heart and Vascular Hospital at Baylor University Medical Center, Frisco Medical Center, Plano Presbyterian Surgical Hospital as well as, numerous ambulatory surgery centers, long term acute care hospitals, imaging centers and catheterization laboratory transactions around the United States. As a result of his legal practice, Mr. Kupchynsky gained extensive experience in representing and advising various healthcare entities such as large hospitals, specialty hospitals and ambulatory surgery centers as well as large physician groups on formation, financing, mergers and acquisition issues and regulatory matters. Mr. Kupchynsky has a bachelor of arts degree, and a Juris Doctorate degree, from Southern Methodist University in Dallas, Texas. |

Eric Minor is a Managing Director of MedProperties Holdings, LLC and plays an integral role in managing the underwriting process of potential investments made by MedProperties. In addition, Eric is involved in portfolio management and investor relations. Prior to joining MedProperties, Eric worked at a Dallas-based real estate development, management, and investment firm specializing in the healthcare industry. During this time, he participated in the underwriting and analysis of various developments, including medical office buildings and hospital projects. Eric’s real estate career also includes asset management responsibilities at UBS Realty Investors. At UBS, Eric was responsible for the analysis, reporting, and asset management of a $250 million industrial portfolio and supported in the management of various UBS assets throughout the Central US. Prior to UBS, Eric served in property management roles as a supervisor of a portfolio consisting of multifamily and office assets. Eric received a BBA in finance from The University of Texas and an MBA with an emphasis in Real Estate from Southern Methodist University where he served as president of the SMU Real Estate Club. |
